1. Definitions
- "Service" refers to the TCG Accounting system and all related features
- "User", "you", or "your" refers to the person or entity using the Service
- "We", "us", or "our" refers to The Confident Group EU
- "HMRC" refers to HM Revenue & Customs
- "MTD" refers to Making Tax Digital
2. Acceptance of Terms
By creating an account and using the TCG Accounting system, you confirm that:
- You have read, understood, and agree to these Terms and Conditions
- You have read and agree to our Privacy Policy
- You are legally authorized to enter into this agreement
- You are authorized to manage the financial accounts and VAT returns for your business
- You are at least 18 years of age
3. Service Description
3.1 Accounting Services
TCG Accounting provides:
- Double-entry bookkeeping system
- Financial reporting (Profit & Loss, Balance Sheet, Trial Balance)
- VAT calculations and reporting
- Data import from XLSX files
- Multi-user account management
3.2 HMRC VAT Submission
Through integration with HMRC's Making Tax Digital (MTD) API, we provide:
- Electronic submission of VAT returns to HMRC
- VAT submission history and tracking
- OAuth authorization with HMRC
- Sandbox testing environment
4. User Obligations
4.1 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using a strong, unique password
4.2 Data Accuracy
You agree to:
- Enter accurate and complete financial data
- Review all calculations and reports before submission to HMRC
- Maintain proper supporting documentation for all transactions
- Verify VAT figures before submitting returns
- Ensure imported data is correct and properly formatted
4.3 Compliance
You are responsible for:
- Ensuring compliance with all UK tax laws and regulations
- Meeting HMRC filing deadlines
- Paying any VAT owed to HMRC
- Maintaining records as required by law (minimum 6 years)
- Seeking professional tax advice when needed
5. VAT Submission Terms
5.1 Authorization
When you authorize our system to submit VAT returns to HMRC:
- You authenticate directly with HMRC using your Government Gateway credentials
- You grant us permission to submit VAT returns on your behalf
- You can revoke this authorization at any time through your HMRC account
- The authorization is limited to VAT submission only
5.2 Submission Responsibility
Important: You acknowledge that:
- You are ultimately responsible for the accuracy of all VAT returns
- You must review all figures before clicking "Submit"
- Submissions cannot be cancelled once accepted by HMRC
- You will receive confirmation warnings before submission
- You should verify submissions in your HMRC online account
5.3 Sandbox vs Production
Our system offers both sandbox (test) and production (live) modes:
- Sandbox: Safe testing environment - does not submit real returns
- Production: Live environment - submits actual VAT returns to HMRC
- Clear visual indicators show which mode is active
- You must configure production credentials separately
6. Limitations of Liability
6.1 Service Provision
The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee:
- Uninterrupted or error-free operation
- That the Service will meet your specific requirements
- That all bugs or errors will be corrected immediately
- Compatibility with all browsers or devices
6.2 Financial Liability
We are not liable for:
- Errors in data you enter into the system
- Late payment penalties from HMRC
- Interest charges on late VAT payments
- Inaccurate VAT calculations based on incorrect input data
- HMRC penalties resulting from incorrect submissions
- Lost profits or business opportunities
- Indirect, consequential, or incidental damages
6.3 Maximum Liability
Our total liability to you for any claims arising from use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
7. Service Availability
7.1 Maintenance
We reserve the right to:
- Perform scheduled maintenance (with advance notice when possible)
- Make emergency repairs or updates
- Temporarily suspend the Service for technical reasons
7.2 HMRC Availability
VAT submission depends on HMRC's MTD API availability. We are not responsible for:
- HMRC system downtime or maintenance
- HMRC API changes or updates
- Delays in HMRC processing
8. Data Backup and Loss
While we implement reasonable backup procedures:
- You should maintain your own records and backups
- We are not liable for data loss due to system failure, user error, or other causes
- You can export your data at any time
- We recommend keeping copies of all VAT submission confirmations
9. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to the system
- Interfere with other users' use of the Service
- Upload malicious code or viruses
- Reverse engineer or attempt to extract source code
- Share your account credentials with others
- Submit false or fraudulent information to HMRC
10. Intellectual Property
The Service, including all software, design, text, graphics, and other content:
- Is owned by The Confident Group EU
- Is protected by copyright and other intellectual property laws
- May not be copied, modified, or distributed without permission
Your data remains your property. You retain all rights to your financial data entered into the system.
11. Account Termination
11.1 By You
You may terminate your account at any time by contacting us. Upon termination:
- You should revoke HMRC authorization through your HMRC account
- You should export any data you wish to keep
- Your account will be deactivated
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms and Conditions
- You use the Service for fraudulent purposes
- Your account remains inactive for an extended period
- Required by law or legal process
11.3 Data Retention
After account termination:
- Data may be retained for legal compliance (6 years for tax records)
- You may request a copy of your data before permanent deletion
- Some data may be retained in backups for a limited period

Not Professional Advice: The Service is a tool to assist with accounting and VAT submission. It does not constitute professional accounting, tax, or legal advice. You should consult with qualified professionals for advice specific to your situation.
13. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. We will:
- Update the "Last Updated" date at the top of this page
- Notify users of material changes via email or system notification
- Require acceptance of new terms for continued use
Your continued use of the Service after changes constitutes acceptance of the new terms.
14. Service Modifications
We reserve the right to:
- Add, modify, or remove features
- Change pricing or payment terms (with notice)
- Discontinue the Service (with reasonable notice)
15. Third-Party Services
The Service integrates with HMRC's MTD API. Your use of HMRC services is governed by HMRC's terms and conditions, available at www.gov.uk/hmrc.
16. Indemnification
You agree to indemnify and hold harmless The Confident Group EU from any claims, losses, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms and Conditions
- Your violation of any laws or regulations
- Inaccurate data you submit
17. Governing Law
These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
19. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and The Confident Group EU regarding use of the Service.
